Supporting a Regional Expansion: From Structuring and Incorporation to Accounting, Tax and Annual Compliance

An overseas business group established a Singapore regional headquarters and needed one local team to manage incorporation, banking, accounting, payroll, tax and recurring corporate compliance.

The Client

A growing overseas business group was planning to expand into Asia and establish a Singapore company as its regional headquarters.

The group already operated through entities in its home country and other markets. It required a Singapore structure that could support regional business development, hold investments in overseas subsidiaries, employ local personnel and enter into transactions with related group companies.

The client was introduced to Angel Services by its existing professional adviser, who wanted to remain involved in the overall relationship while engaging a Singapore-based team to manage the local implementation and compliance requirements.

The Challenge

The proposed Singapore company was not intended to be a dormant holding entity. It would act as the group’s regional headquarters, provide management and support services to overseas group companies, hold shares in selected regional subsidiaries, receive equity and shareholder funding from the overseas parent, employ local staff, maintain bank accounts in multiple currencies and enter into recurring intercompany transactions.

The group therefore needed support extending well beyond incorporation.

Key matters included

  • Selecting the appropriate company and ownership structure
  • Documenting the proposed activities and funding arrangements
  • Coordinating incorporation and banking requirements
  • Establishing accounting and financial-reporting processes
  • Evaluating GST-registration requirements
  • Considering transfer-pricing and related-party transaction documentation
  • Managing payroll and employment-related compliance
  • Preparing corporate tax computations and filings
  • Completing annual corporate-secretarial requirements
  • Providing financial information required for group reporting and consolidation

How Angel Services Assisted

Angel Services first reviewed the client’s proposed Singapore activities, ownership structure, funding arrangements and expected transaction flows.

Based on this review, we coordinated the incorporation of the Singapore company and assisted with the initial corporate and regulatory requirements, including the appointment of officers, registered office arrangements, statutory registers and corporate documentation.

We then supported the client in establishing its ongoing finance and compliance framework.

Our work included

  • Setting up the company’s accounting records and chart of accounts
  • Advising on the accounting treatment of share capital, shareholder funding, investments and intercompany balances
  • Preparing periodic management accounts
  • Assisting with payroll and employment-related reporting
  • Reviewing the company’s expected turnover and transactions for GST-registration purposes
  • Identifying related-party transactions requiring supporting documentation
  • Preparing annual financial statements
  • Preparing the Singapore corporate tax computation and tax return
  • Preparing annual general meeting documentation
  • Filing the Annual Return with ACRA
  • Responding to ongoing corporate, accounting and tax queries

Where matters involved the client’s home jurisdiction, we coordinated with the referring professional firm so that the Singapore treatment remained aligned with the group’s broader legal, accounting and tax position.

The Outcome

The client successfully established its Singapore regional headquarters and implemented a coordinated framework for its accounting, tax, payroll and corporate compliance obligations.

Rather than dealing with different providers for each requirement, the group had a single Singapore team supporting the company from incorporation through to recurring financial reporting, tax filing and annual statutory compliance.

The referring firm retained its trusted adviser relationship with the client and continued handling matters in the home jurisdiction, while Angel Services acted as the local Singapore execution and compliance partner.

How We Support Professional Firms

Angel Services works with accounting, legal, tax and consulting firms whose clients require support in Singapore, the UAE, India and other international markets.

Depending on the engagement, we can work through a direct client referral, a joint or collaborative engagement, a white-label delivery arrangement, or jurisdiction-specific support as part of a wider cross-border assignment.

Our objective is to help professional firms broaden the international support available to their clients while preserving the originating adviser’s relationship and role.
