Disclaimer & Refund Policy

1. Government Approval Disclaimer

All incorporation and related services provided by Angel Services Pte. Ltd. and its affiliated entities (including ASPL Consultancy Pvt. Ltd. and other group companies) are subject to completion of internal Know Your Client (KYC) and Anti-Money Laundering (AML) due diligence, and review and approval by the relevant government or regulatory authorities in the applicable jurisdiction (e.g., ACRA in Singapore, UAE Free Zone or Mainland Authorities).

Submission of an application for company incorporation does not guarantee approval of:

• Company name reservation
• Business activity classification
• Company registration
• Licensing or regulatory consent
• Visa eligibility (where applicable)

Government authorities may reject, delay, or request modifications to applications based on their independent review and prevailing regulations. Angel Services does not exercise control over such decisions and shall not be responsible for such outcomes.

2. Verification of Information

Clients are responsible for ensuring that all information and documents submitted through our website, incorporation forms, email, or dashboard are:

• True
• Accurate
• Complete
• Up-to-date

Angel Services reserves the right to:

• Seek additional documentation or clarification
• Place the application on hold pending verification
• Decline to proceed with services where compliance concerns arise

Any delay caused due to incomplete documentation or delayed responses from the client shall not be attributable to Angel Services.

3. Refund Policy

Refund eligibility will be assessed by Angel Services reasonably, taking into account the stage of work completed, professional time incurred, statutory and compliance responsibilities undertaken, and any non-recoverable costs or expenses incurred.

In the event that:

• A proposed company name is rejected,
• Incorporation or license application is not approved by the relevant authority, or
• Angel Services is unable to proceed due to regulatory or compliance constraints,

the professional fees paid to Angel Services shall be refunded, subject to the following deductions:

Refunds will be processed net of:

• Government filing / registration fees
• Name reservation fees
• Notarisation / legalisation charges
• Courier or document handling charges
• Payment gateway or banking charges
• Third-party service provider costs
• Any advisory or consultation already rendered
• Document preparation and compliance checks undertaken

Where an application is rejected due to:

• Incomplete or incorrect information provided by the client
• Non-disclosure of material facts
• Adverse compliance findings
• Failure to provide requested documentation within a reasonable timeframe

Angel Services reserves the right to retain reasonable professional fees proportionate to the work completed, time invested, and compliance procedures undertaken up to the date of termination.

4. Pricing, Taxes and Third-Party Costs

Unless otherwise stated in writing, all fees are quoted in Singapore Dollars and are exclusive of applicable GST, government charges, third-party costs, disbursements and bank or payment-processing charges.

Government filing fees, name application fees, registered-address charges, courier fees, notarisation or legalisation fees, translation costs, bank charges, payment gateway charges and third-party provider costs are payable separately unless expressly included in our written quotation or invoice.

Our quoted fees are based on the scope, assumptions and information provided at the time of quotation. Additional fees may apply where there is additional work, urgency, enhanced KYC or compliance review, changes in instructions, incomplete information, unusual complexity, restructuring, regulatory queries or work outside the agreed scope.

5. Annual Services and Renewal

Certain services, including corporate secretarial services, registered address services, nominee director services, accounting, tax, payroll, compliance support and similar recurring services, are provided on an annual or recurring basis.

Unless otherwise agreed in writing, we may issue a renewal invoice before the next service period. Renewal fees, scope and applicable pricing may be revised from time to time by giving reasonable notice.

Renewal of services is subject to payment of the applicable fees, completion of any required KYC refresh, satisfactory compliance and risk review, and our continued acceptance of the engagement.

Nominee director, registered address and filing-agent services are subject to separate internal review and may not be renewed where we are unable to continue acting due to legal, regulatory, risk, compliance or reputational considerations.

6. Cancellation by Clients

A client wishing to discontinue recurring services should provide at least 30 days' written notice before the intended termination date, unless a different notice period is stated in the relevant engagement letter.

Fees paid for a service period that has commenced are generally non-refundable. This is because fees may include professional time, statutory responsibility, compliance monitoring, internal administration, capacity allocation, record maintenance and third-party costs.

Where a client requests cancellation after work has commenced, Angel Services may retain or charge fees for:

• work completed and professional time incurred;
• statutory, compliance or filing responsibilities undertaken;
• handover, transition or record-transfer work;
• third-party, government and disbursement costs; and
• any unpaid fees, charges or expenses due up to the effective termination date.

7. Suspension or Termination by Angel Services

Angel Services may suspend, decline, restrict or terminate services by giving at least 30 days' written notice where reasonably practicable.

However, Angel Services may suspend or terminate services immediately, without prior notice where permitted or necessary, including where there are legal, regulatory, AML/CFT, sanctions, fraud, reputational, payment-default or other material risk concerns, or where continued provision of services may expose Angel Services or its officers to risk or liability.

Angel Services may also suspend, decline, restrict or terminate services where:

• fees remain unpaid;
• requested KYC, beneficial ownership, source-of-funds or compliance information is not provided or updated;
• information provided is inaccurate, incomplete or misleading;
• the client requests actions that are unlawful, improper or outside our professional or regulatory obligations; or
• the client's conduct is abusive, threatening or materially disruptive.

8. Handover and Release of Records

Upon termination or transfer of services, Angel Services will provide reasonable assistance to facilitate handover, subject to settlement of all outstanding fees, disbursements and charges.

Any statutory records, corporate documents, access credentials or handover materials held by us will be released or transferred in accordance with applicable law, professional obligations and our internal compliance requirements. Additional fees may apply for expedited, extensive or out-of-scope handover work.

9. Refunds, Credits and Billing Corrections

Refunds, credits or billing corrections may be considered where appropriate, including where:

• a payment has been duplicated or incorrectly charged;
• a service has not commenced, and no substantive work has been undertaken;
• an application cannot proceed before substantial work begins; or
• Angel Services has made an administrative billing error.

Any refund or credit will take into account work completed, non-recoverable costs, government or third-party charges, payment-processing charges and amounts properly due for services already rendered.

Where an invoice error is identified, Angel Services will correct the error by issuing a refund, credit note or invoice adjustment, as appropriate.

10. Payment Processing

All refunds (if applicable) will be processed within 14-21 working days from the date of confirmation of non-proceeding, via the original payment method, subject to payment gateway timelines.

Angel Services shall not be liable for delays caused by banking institutions, intermediary financial institutions, or payment gateway providers.

11. Limitation of Liability

Angel Services shall not be liable for any indirect, consequential, or loss-of-profit damages arising from delays, rejection, or regulatory decisions made by government authorities. Our total liability, in any case, shall not exceed the professional fees paid for the specific service in question.

By proceeding with payment for incorporation or related services via our website or client dashboard, you acknowledge that you have:
